Silver Law Investigates VenHub For Possible Securities Law Violations

 

Silver Law Group is currently investigating VenHub Global, Inc. (VHUB) for potential violations of the federal securities laws following disclosures in its annual report that led to a decline in its stock price.

VenHub filed its 2025 Annual Report (Form 10-K) on March 25, 2026, for the year ending December 31, 2025. In it, the Company disclosed that it had insufficient cash reserves to continue operating. Although the Company generated total revenues of $864,450, it reported a net loss of approximately $64.2 million.

The Company’s balance sheet and liquidity are also cause for significant concern. This included a working capital deficit of approximately $9.2 million, and a stockholders’ deficit of approximately $10.3 million, with total liabilities of approximately $13.9 million.

VenHub disclosed that these deficits, losses, and negative cash flows from its operations raised considerable doubt that the company could continue. Because VenHub’s current cash position doesn’t support the company, it could cease operations unless it secures additional short-term capital to supplement revenue and cover those losses.

The company’s stock price quickly decreased after the news release causing a drop in stock price.  These disclosures led to questions into VenHub’s officers and directors, and whether they may have violated any securities laws or breached any fiduciary duties.

However, VenHub defended itself and its public disclosures of its financial straits, stating that the “going concern” language is typical for capital-intensive, high-growth startups like theirs. The Company also stated that it is unaware of any SEC investigations or other activity while it searches for additional sources of capital.
